OEC has successfully completed the period it was under the monitoring of a representative appointed by the United States Department of Justice (DoJ), in compliance with the commitments assumed in the leniency agreement signed in December 2016.
The independent monitor appointed by the DoJ certified that OEC and Odebrecht Group's compliance systems, including their policies and procedures, are designed and implemented to prevent and detect violations of anti-corruption laws. He was also able to verify that marked improvements were made in the control environment, correctly developed and properly incorporated into the general compliance system.
Among the improvements in terms of integrity and governance implemented globally in the company are the incorporation of independent directors with extensive experience; the installation of advisory committees in areas such as Integrity, Audit and Finance; the implementation of the Ethics Committee; institution of the functions of Chief Compliance Officer and Head of Internal Audit, which report directly and independently to the Board of Directors; the establishment of comprehensive measures for the prevention, detection and remediation of any actions that occur in disagreement with the company's new Integrity Policy; and the creation and availability of an Ethics Line, managed confidentially by an independent company.
According to Marco Siqueira, president of OEC, the completion of the monitoring testifies to the transformation and renewal of the company and, together with the approval of the financial restructuring, which made it possible to cut 55% of the total debt and new payment terms, mark the new moment of the construction company. “It was a period of great learning that allowed important advances to be made in the management of processes, such as, among others, the adoption of centralized financial controls and audit and risk management systems that positively impacted our productivity and competitiveness. "I want to especially thank all the Members, who understood the relevance of these actions and actively promoted them, definitively incorporating the prevention and control routine as part of the evolution of our business management", he says.
For Alexandre Baltar, Chief Compliance Officer at OEC, “the advances achieved are permanent and do not stop with the certification of the independent monitor. “There is no finish line, as we will be constantly looking for the excellence of our processes, aiming at treating and mitigating risks and strengthening the established culture of ethics, integrity and transparency”, he concludes.
The DoJ representative followed the construction company's daily operation, recommended the implementation of improvements and now ends activities after validating the results achieved.
